Terms

Rectify is operated by Rectify Labs Ltd, trading as Rectify Labs, registered in England and Wales under company number 17418931, registered office Chandlers Yard, 24 Upper High Street, Worthing, BN11 1DL. These terms are the agreement between us and the organisation using Rectify. Using the app means accepting them.

Rectify is for business use

Rectify is sold to businesses, including sole traders, for use in their work. By creating an account you confirm you are acting for purposes related to your trade or profession, and that you have authority to accept these terms for your organisation.

Because of that, the consumer rules do not apply to this agreement. There is no 14 day cooling off period and no statutory right to cancel a subscription part way through a period. If you are not buying for business purposes, do not subscribe.

What the service does, and what it does not

Rectify records defects. It lets you photograph and describe a snag, assign it to someone, track it from open through to closed, and keep the record of who said what and when.

It does not inspect anything. Rectify does not find defects, does not check that a snag has genuinely been fixed, and is not a survey, an inspection, a certificate or professional advice of any kind. The judgement stays yours. Nothing in the app discharges an obligation you owe to a client, a contractor or a building control body.

We aim to keep the service available, but we do not promise it will be uninterrupted or fault free. We may change how features work, and we may withdraw a feature. If a change removes something you are paying for, you can cancel and stop paying at the end of your current period.

Accounts, roles and keeping them secure

Everyone gets their own sign-in. You are responsible for what happens under yours, so keep the password to yourself and tell us promptly if you think it has been compromised.

There are three roles, and they are not equivalent:

• The Account Owner holds billing. Only they can change the plan or the number of seats.
• Members work across the organisation's projects. Members occupy seats, and seats are what you pay for.
• Assignees see only the snags assigned to them, and can respond to those. They do not occupy a seat, so adding one costs you nothing.

Plans, seats and payment

Plans and prices are on the pricing section of our homepage, and those figures form part of these terms. Charging is per seat, per month, and a member occupies a seat, so a Team organisation that has bought four seats pays for four and may hold four members. Assignees are free on every plan and occupy no seat.

The app itself is free to download and takes no payment. Subscriptions are paid directly to us through Stripe, on the billing site we send you to. Nothing is bought through the App Store, so Apple is not the merchant, no charge passes through them, and their refund terms do not apply to anything you pay us. We are not currently registered for VAT, so no VAT is added to the price.

Monthly and annual

Annual billing is charged once, up front, for twelve months at 10% off the monthly rate. It is a discount for paying up front, not a trial, and it does not change what the service does. The discount is a percentage rather than a free month because a seat added part way through a period is pro-rated by time, and a discount counted in months has no clear answer for what the part-period costs.

There is no free trial

The free plan is free permanently and needs no card. Nothing converts into a paid plan on its own, and we will never start charging you because a period elapsed. Moving to a paid plan is always something the Account Owner does deliberately.

Adding seats part way through a period

Seats are bought, not counted after the fact, so the Account Owner buys them before the people arrive. Add a seat mid-period and you pay a pro-rated amount covering the part of the period still to run, worked out to the day, and then the full price from your next bill onward.

Reducing seats takes effect at your next renewal. We do not refund a seat you stop using part way through a period, and a seat cannot be reduced below the number of people currently in your organisation. You will need to remove the people first.

Cancellation and refunds

You can cancel at any time from the billing site. Cancelling stops the next renewal. Your plan then runs to the end of the period you have already paid for, and nothing is deleted before that.

Closing your account is not the same as cancelling. Cancelling leaves the organisation running to the end of the period you have paid for. Deleting your account ends the subscription there and then and deletes the organisation, so you give up the rest of the period you have already paid for and it is not refunded. If you only want the billing to stop, cancel from the billing site and leave the account alone.

Payments already made are not refunded, including the unused part of a period and an annual payment cancelled part way through the year. This is what being a business customer means here, and it is the reason the price is what it is. If something has gone genuinely wrong, tell us at support@rectifyapp.co. We would rather hear about it than not.

What happens if payment stops

If a subscription lapses, the workspace is frozen rather than emptied. Nobody is removed, no project is deleted, and nothing you have put in is destroyed because a card expired. What stops is the work: while an organisation is over the limits of the free plan, its members and assignees cannot carry on using it.

The Account Owner keeps working so they can put it right, either by paying again, at which point everything resumes as it was, or by bringing the organisation down within the free plan's limits and continuing on the free plan. Choosing the second is giving up the paid plan, so the seats and the tier you had are released.

Your content

Your photos, notes and project data stay yours. We claim no ownership of them.

You grant us the licence we need to run the service, which means storing your content, backing it up, and showing it to the people in your organisation and the assignees you share a snag with. That licence exists for no other purpose. We do not use your content to market anything, we do not sell it, and we do not train anything on it.

You are responsible for what you put in. That includes having the right to photograph the property and, where a photograph shows a person, having a lawful basis for holding it. How we handle it on your behalf is set out in our privacy notice.

When an account closes, its content is deleted straight away rather than on a schedule, and it cannot be brought back. If you are an Account Owner, closing your account closes the organisation with it, because an organisation cannot carry on without its owner and there is no way to hand one over. That takes every project, snag, comment and photo in it, and everyone else's access to it. Export anything you or your colleagues want to keep before you close it.

If you are not an Account Owner, closing your account does not remove the work you did in someone else's organisation. The snags you raised and the comments and photos you added are that organisation's records and stay with them, with your name cleared from them. Ask the organisation if you want them removed as well.

Acceptable use

Do not use Rectify to:

• break the law, or infringe someone else's rights;
• store content that is unlawful, harassing or defamatory;
• record personal data you have no lawful basis for holding, including photographs of people taken for a purpose they would not expect;
• attack the service, probe it for weaknesses without our written agreement, or work around the limits of your plan;
• resell access, or share one sign-in between several people.

We can suspend an account that breaches this section. Where the breach is not serious we will tell you first and give you a chance to fix it.

Liability

Nothing here limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow us to limit.

Subject to that:

• We are not liable for loss of profit, loss of business, loss of contracts, loss of goodwill, or for any indirect or consequential loss, however it arises.
• We are not liable for the cost of remedial work, for a defect that was not recorded, or for a decision taken on the strength of what the app does or does not show. The app records what people put in it.
• Our total liability to you for everything arising under this agreement in any twelve month period is limited to the amount you paid us in the twelve months before the claim arose. If you are on the free plan, that amount is nil, and our liability is limited to £100.

You are responsible for keeping your own copy of anything you cannot afford to lose. We keep backups for our own operational purposes and they are not a substitute for your records.

Ending this agreement

You can stop using Rectify at any time by cancelling and closing your account. We can end this agreement by giving you 30 days' notice, and immediately if you breach it seriously or fail to pay. If we end it without cause, we will refund the unused part of anything you have paid in advance.

Changes to these terms

We may change these terms. If a change materially affects you, we will email account holders at least 30 days before it takes effect, and you can cancel before it does if you do not accept it. The date at the bottom of this page always says when they last changed.

General

You may not transfer your rights under this agreement without our consent. We may transfer ours to a company that takes over our business, on the same terms. If a court finds part of these terms unenforceable, the rest stands. Nobody other than you and us has any right to enforce them. Our failure to enforce something is not a waiver of it.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
